The proposed name of the company must first be approved before the company can be incorporated. All applications for a new local company, whether private, public, limited or unlimited, must be submitted electronically via the BizFile portal maintained by the Accounting and Corporate Regulatory Authority (“ACRA”) of Singapore. The processing time for a name application is almost instantaneous.
In certain situations, the Registrar may take a longer period if clearance with any Government Department is required. The name, if approved, will be reserved for a period of 60 days with possible extension for another 60 days during which time the incorporation documents can be prepared, executed and filed via BizFile.
Step 2: Incorporation
Upon successful incorporation of the company, the Registrar will issue an electronic Notice of Incorporation stating that the company has been incorporated and provide the date of incorporation and registration number.
Provided all incorporation papers have been signed by all shareholders and directors, the whole process should take about 2 to 3 working days to incorporate a company from the time an application of name is submitted via BizFile. A longer period will be taken in a situation where the Registrar needs clearance from other Government Authorities.
Upon the application of the company and payment, the Registrar will issue to the company a Certificate of Confirmation of Incorporation under his hand and seal.
